August 12: The Companies Bill 2012, passed by the Rajya Sabha last week, modified key rules of corporate governance, permitted layers of subsidiaries and related party transactions. However, Shardul Shroff, Managing Partner at Amarchand Mangaldas, says the “bill puts Indian companies at a disadvantage”. Indian companies should be allowed certain exceptions in the global arena to allow for unimpeded deals and trade, he adds.
