Leading law firm Amarchand Mangaldas’ Managing Partner Shardul Shroff believes the related party deal regulation in the Companies Bill 2012 may not be conducive to normal functioning of a company. “When read along with the SEBI norms, a minority could outvote the majority in key decisions,” he says, adding that such serious issues need careful consideration at the hands of industry.
